Terms of Service

PLEASE READ THESE TERMS CAREFULLY. They contain important information about your rights, obligations, and legal remedies, including a mandatory arbitration clause and a class-action waiver (Section 15). By subscribing to or using Sentinel, you agree to these Terms.

These Terms of Service ("Terms") govern your access to and use of Sentinel by Reviewal ("Sentinel" or the "Service"), operated by Reviewal. By creating an account, subscribing to the Service, or otherwise using Sentinel, you agree to these Terms. If you do not agree, do not use Sentinel.

1. Who can use Sentinel

1.1 Business use only

Sentinel is a business-to-business (B2B) service. By using Sentinel, you represent that you are using it for professional or commercial purposes on behalf of yourself as a self-employed professional or a business entity. Sentinel is not marketed to or offered as a consumer product.

1.2 Age requirement

You must be at least 18 years old to use Sentinel. By using the Service, you represent that you are 18 years of age or older.

1.3 Authority

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and "you" refers to that entity.

1.4 Instagram account authorization

You may only connect Instagram accounts that you own or that you have express, documented authorization from the account owner to monitor. Connecting an account without proper authorization is a serious violation of these Terms and may result in immediate termination.

2. The Service

2.1 What Sentinel does

Sentinel is a social media compliance monitoring platform that analyzes connected Instagram accounts against the target platform's published policies (currently Meta / Instagram's Community Standards and content-distribution guidelines) and reports on the account's compliance, reach, and engagement patterns.

Sentinel is under active development. We may add, modify, or remove features from time to time. We will not, without notice, remove features that materially reduce the core value of your paid subscription during the billing cycle in which you paid for the Service.

3. Your account

3.1 Account creation

You must provide accurate and complete information when creating your Sentinel account and keep that information up to date. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

3.2 One account per user

You may not create multiple Sentinel accounts to circumvent account limits, billing, or other restrictions. Sharing accounts across separate parties (such as multiple team members using a single subscription without proper authorization) is prohibited. Where you need additional seats, use the team workspace features provided in the Service.

4. Subscriptions, pricing, and payment

4.1 Pricing

Sentinel is offered as a paid subscription. The current pricing is:

The prices that apply to you are those displayed at checkout at the time of your purchase. We reserve the right to change our pricing. Any changes will not affect your current billing cycle. We will notify you at least thirty (30) days in advance of any price change that will apply to your subscription at renewal.

4.2 Payment processing

All payments are processed by our payment provider, Stripe. By providing a payment method, you authorize us (through Stripe) to charge that payment method for your subscription, add-on accounts, and any applicable taxes on a recurring basis.

4.3 Auto-renewal

Your subscription will automatically renew at the end of each billing cycle (monthly or annual, as you selected) unless you cancel it before the renewal date. You can cancel at any time from the Billing section of Settings, which takes effect at the end of the cycle you have already paid for.

You may cancel your subscription at any time through the Settings section of the Service. Upon cancellation:

If a payment fails, we will attempt to charge your payment method again over a short retry period. If the payment cannot be collected, your access to Sentinel may be suspended until the outstanding balance is paid. Your data will not be immediately deleted; you will have a reasonable period to update your payment method and restore access.

4.6 Taxes

You are responsible for any sales, use, value-added, or similar taxes, tariffs, and duties imposed on your subscription by any jurisdiction, except for taxes on our net income.

5. Refunds

Sentinel operates a no-refund policy. Once payment has been collected for a billing cycle, that payment is non-refundable. If you cancel, you retain access through the end of the paid cycle and you are not charged again. This applies to both monthly and annual subscriptions.

This policy is described in detail in our separate Refund and Cancellation Policy. To the maximum extent permitted by applicable law, you waive any right to a refund except where mandatorily provided by consumer protection laws that cannot be excluded by these Terms.

6. Acceptable Use

Your use of Sentinel is subject to our separate Acceptable Use Policy, which is incorporated into these Terms by reference. Violations may result in suspension or termination of your account without refund.

7. Intellectual Property

7.1 Our IP

Sentinel, including its software, design, content, trademarks, and all associated intellectual property rights, is owned by Reviewal and its licensors. Nothing in these Terms grants you any right, title, or interest in Sentinel except for the limited right to use the Service in accordance with these Terms.

7.2 Your content

You retain all ownership of the content you upload or submit to Sentinel (captions, media, account data). By submitting content, you grant Reviewal a worldwide, non-exclusive, royalty-free license to use, host, process, and analyze that content solely for the purpose of providing the Service to you, complying with our legal obligations, and improving the Service in aggregate, anonymized form.

7.3 Feedback

If you provide us with feedback, suggestions, or ideas about Sentinel, we may use them without compensation or attribution.

7.4 Third-party marks

"Instagram," "Meta," and related names and logos are the property of Meta Platforms, Inc. Sentinel's use of these names is nominative (to describe the platform Sentinel analyzes) and does not imply any affiliation or endorsement.

8. AI-assisted analysis

Sentinel uses artificial intelligence to assess content compliance. AI assessments are informational estimates, subject to error, and should not be relied upon as legal, business, or platform-policy advice. You are solely responsible for your decisions about your social media content. Full detail on our AI use is set out in our AI Transparency Notice.

9. Your data and privacy

Our collection, use, and protection of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using Sentinel, you consent to the practices described in the Privacy Policy.

10. Third-party platforms and services

Sentinel connects to and analyzes third-party platforms (currently Instagram). Your use of those platforms is governed by their own terms of service, and Reviewal is not responsible for any changes, restrictions, suspensions, bans, or other actions those platforms may take with respect to your account. If a platform changes its API, its policies, or its access rules in a way that limits Sentinel's functionality, we will use commercially reasonable efforts to adapt but cannot guarantee uninterrupted service.

11. Disclaimers

SENTINEL IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, REVIEWAL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

In particular, we do not warrant that:

Some jurisdictions do not allow the exclusion of certain warranties. To the extent an exclusion is not permitted, the disclaimer applies to the maximum extent allowed by law.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REVIEWAL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF SENTINEL, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total aggregate liability arising out of or related to these Terms or your use of Sentinel, whether in contract, tort, or any other theory, will not exceed the greater of (a) the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim, or (b) USD $100.

Some jurisdictions do not allow the limitation of liability for certain types of damages. Nothing in these Terms limits liability for fraud, gross negligence, willful misconduct, death or personal injury caused by our negligence, or any other liability that cannot be excluded or limited under applicable law.

13. Indemnification

You agree to defend, indemnify, and hold harmless Reviewal, its affiliates, and their respective officers, directors, employees, and agents, from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of or related to (a) your violation of these Terms; (b) your violation of any third-party right, including any social media platform's terms of service; (c) your Instagram or other social media content; or (d) your use of Sentinel in a manner not permitted by these Terms or our Acceptable Use Policy.

14. Suspension and termination

You may terminate your account at any time by canceling your subscription and requesting account deletion via sentinel@reviewal.team.

We may suspend or terminate your account at any time, with or without notice, if we reasonably believe that:

Upon termination, your right to use Sentinel ceases immediately. We may delete your data in accordance with our Privacy Policy. Sections of these Terms that by their nature should survive termination will survive (including Sections 7, 11, 12, 13, 15, and 17).

15. Dispute resolution: arbitration and class-action waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS AND REQUIRES YOU TO RESOLVE DISPUTES THROUGH INDIVIDUAL ARBITRATION RATHER THAN IN COURT.

15.1 Informal resolution first

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at sentinel@reviewal.team. We will attempt to resolve the dispute within thirty (30) days of receiving your notice.

15.2 Binding arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or your use of Sentinel that is not resolved informally will be finally resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will be conducted in English. Judgment on the arbitrator's award may be entered in any court of competent jurisdiction.

15.3 Class-action waiver

YOU AND REVIEWAL EACH AGREE TO BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of representative or class proceeding.

15.4 Exceptions

Notwithstanding Sections 15.2 and 15.3:

16. Governing law and venue

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions. Subject to Section 15, any court proceedings will be brought exclusively in the state or federal courts located in Delaware, United States, and both parties consent to personal jurisdiction there.

If you are a consumer with mandatory rights under the law of your country of residence that cannot be excluded by contract, those rights are not affected by the choice of Delaware law.

17. General provisions

17.1 Entire agreement and order of precedence

These Terms, together with the Privacy Policy, Cookie Policy, Acceptable Use Policy, Refund and Cancellation Policy, Data Processing Agreement (if applicable), and AI Transparency Notice, constitute the entire agreement between you and Reviewal regarding Sentinel.

If those documents conflict, the following order of precedence applies: (1) the Data Processing Agreement, (2) these Terms of Service, (3) the Refund and Cancellation Policy, (4) the Acceptable Use Policy, and (5) any other policy. Prices are those displayed at checkout at the time of purchase.

17.2 Changes to the Terms

We may update these Terms from time to time. When we make material changes, we will notify you via email or an in-app notice at least thirty (30) days before the changes take effect, and we will update the "Last updated" date above. If you do not agree with the updated Terms, you must stop using Sentinel and cancel your subscription before the changes take effect.

17.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

17.4 No waiver

Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.

17.5 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms to any successor or in connection with a merger, acquisition, or sale of assets.

17.6 Force majeure

We will not be liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network outages, or pandemics.

17.7 Notices

We may provide notices to you via the email address associated with your account or by posting a notice within the Service. You may provide notices to us at sentinel@reviewal.team.
